These Terms and Conditions (“Terms”) govern your use of this website and all services, equipment rentals, product purchases, and event production engagements provided by Secrets For Victory Inc (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms in their entirety. If you do not agree, please do not use our website or services.

1. Services Overview

Secrets For Victory Inc is a premium event production company providing comprehensive B2B services including but not limited to: stage rental and setup, LED screen and video wall installations, professional lighting design, audio and sound system engineering, truss and rigging, special effects, and full-scale event production management. We also operate an online store offering event production equipment, accessories, and related products for purchase.

2. Eligibility

Our services and online store are intended for business clients, event organizers, and individuals who are at least 18 years of age. By placing an order or engaging our services, you represent that you have the legal authority to enter into binding agreements and, if acting on behalf of an organization, that you are authorized to bind that organization to these Terms.

3. Online Store & WooCommerce Purchases

Products listed on our website are subject to availability. We reserve the right to limit quantities, refuse orders, or discontinue products at any time. All prices are displayed in US Dollars and are subject to change without notice. Applicable taxes and shipping fees will be calculated at checkout.

By completing a purchase you agree that: (a) you will provide accurate and complete billing and shipping information; (b) you authorize us to charge your selected payment method for the total order amount; (c) if your payment method is declined, we may cancel or suspend the order. Order confirmation does not constitute acceptance — we reserve the right to cancel orders due to pricing errors, inventory shortages, or suspected fraud.

4. Equipment Rental Terms

Equipment rental agreements are subject to the following conditions:

  • Rental Period: Equipment is rented for the period specified in your booking confirmation or rental agreement. Extensions must be requested and approved in writing at least 48 hours before the scheduled return date. Unauthorized extensions will incur additional daily charges at 150% of the standard daily rate.
  • Condition & Inspection: All equipment is provided in good working condition. The renter is responsible for inspecting equipment upon delivery or pickup and reporting any defects within 24 hours. Equipment must be returned in the same condition as received, normal wear and tear excepted.
  • Damage & Loss: The renter assumes full responsibility for loss, theft, or damage to rented equipment from the time of delivery until return and acceptance by Secrets For Victory Inc. Repair or replacement costs will be charged to the renter at current market value.
  • Security Deposit: We may require a security deposit prior to releasing equipment. Deposits are refunded within 14 business days after equipment is returned in satisfactory condition.
  • Cancellation: Rental cancellations made 14 or more days before the event date receive a full refund. Cancellations within 7-13 days incur a 50% charge. Cancellations within 6 days of the event are non-refundable.

5. Event Production Services

Event production engagements are governed by a separate Statement of Work (SOW) or service agreement, which will detail scope, deliverables, timeline, and pricing. In the event of a conflict between the SOW and these general Terms, the SOW shall prevail for that specific engagement.

We commit to providing professional-grade production services as described in the agreed scope. However, event outcomes depend on many factors beyond our control (venue conditions, weather for outdoor events, third-party vendor performance, client-provided content). We do not guarantee specific audience attendance, engagement metrics, or event outcomes.

6. Payment Terms

  • Online Purchases: Full payment is required at checkout via accepted payment methods (credit card, debit card, or other methods displayed at checkout).
  • Event Production & Large Rentals: A non-refundable deposit of 50% is required upon signing the service agreement. The remaining balance is due no later than seven (7) days before the event date. For engagements exceeding $25,000, a custom payment schedule may be arranged.
  • Late Payments: Invoices not paid within the specified terms will incur a late fee of 1.5% per month (18% annual rate) on the outstanding balance. We reserve the right to suspend or cancel services for overdue accounts.
  • Chargebacks & Disputes: If you believe a charge is incorrect, contact us at [email protected] before initiating a chargeback. Unauthorized chargebacks may result in collection actions and suspension of your account.

7. Shipping & Delivery

Physical products purchased through our store are shipped via reputable carriers. Estimated delivery times are provided at checkout but are not guaranteed. Risk of loss transfers to the buyer upon delivery to the carrier. We are not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our control. For equipment rentals, delivery and pickup logistics will be specified in the rental agreement.

8. Returns & Refunds

Product returns are accepted within 30 days of delivery, provided items are unused, in original packaging, and accompanied by proof of purchase. Restocking fees of up to 15% may apply. Custom-ordered or personalized items are non-returnable. Refunds are processed to the original payment method within 10 business days of receiving the returned item. Shipping costs for returns are the buyer’s responsibility unless the return is due to our error.

9. Intellectual Property

All content on this website — including text, images, graphics, logos, videos, and software — is the property of Secrets For Victory Inc or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, Secrets For Victory Inc SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR WEBSITE, PRODUCTS, OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to Secrets For Victory Inc in the twelve (12) months preceding the event giving rise to the claim. This limitation applies to all causes of action in the aggregate, including breach of contract, tort (including negligence), and strict liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Secrets For Victory Inc, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of our website or services; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) damage to rented equipment caused by negligence or misuse.

12. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, civil unrest, utility failures, or acts of terrorism. In such cases, the affected party shall notify the other promptly, and both parties will work in good faith to mitigate impacts and adjust timelines or scope as necessary.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from or related to these Terms or your use of our website or services shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida. Both parties consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days. If unresolved, either party may pursue mediation administered by a mutually agreed mediator in Hillsborough County, Florida. Litigation may proceed only after mediation has been attempted in good faith.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page with an updated “Last Updated” date. Your continued use of our website or services following any changes constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active account holders via email.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
